On January 28, 2019, South State Corporation (the “Company”) issued a press release announcing its financial results for the fourth quarter and three and twelve-months ended December 31, 2018, along with certain other financial information.A copy of the Company’s press release and presentation is attached as Exhibit 99.1 and 99.2 to this report and incorporated herein by reference.

Item 8.01 Other Events

The Company’s Board of Directors has authorized the repurchase of up to 1,000,000 additional shares of the Company’s common stock (the “Repurchase Program”). The Repurchase Program replaces and supersedes the Company’s prior share repurchase program. The Company is not obligated to repurchase any such shares under the Repurchase Program.

Shares of common stock may be purchased under the Repurchase Program periodically in open market transactions at prevailing market prices, in privately negotiated transactions, or by other means in accordance with federal securities laws. The actual means and timing of any purchases, target number of shares and prices or range of prices under the Repurchase Program will be determined by the Company in its discretion and will depend on a number of factors, including the market price of the Company’s common stock, share issuances under Company equity plans, general market and economic conditions, and applicable legal and regulatory requirements. Repurchases under the Repurchase Program after December 23, 2019 would require additional Federal Reserve approval.The Repurchase Plan may be modified, amended or terminated by the Board of Directors at any time.
