Holders.

On December13, 2016, we held a special meeting of stockholders to
consider and vote upon the proposal to approve the Second Amended
and Restated Articles of Incorporation to change our corporate
name from Smith Wesson Holding Corporation to American Outdoor
Brands Corporation.

Our stockholders approved the Second Amended and Restated
Articles of Incorporation to change our corporate name from Smith
Wesson Holding Corporation to American Outdoor Brands
Corporation. The results of the vote to approve this proposal
were as follows:
