Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On October 17, 2019, the majority stockholders of SmartMetric, Inc., a Nevada corporation (the “Company”), approved an amendment to the Company’s Articles of Incorporation to increase the number of authorized shares of the Company’s common stock, par value $0.001 per share, from 300,000,000 shares to 600,000,000 shares. The increase in authorized shares of the Company’s common stock was effected to a Certificate of Amendment to the Articles of Incorporation (the “Certificate of Amendment”), filed with the Secretary of State of the State of Nevada on December 6, 2019. The foregoing description of the Certificate of Amendment does not purport to be complete and is qualified in its entirety by reference to Exhibit 3.1 hereto, which is incorporated herein by reference.
