(d)Effective December30, 2016, our Board of Directors appointed
Ms.Lauren B. Dillard as a ClassIII member of our Board of
Directors, with a term expiring in 2018 or when her successor is
duly elected and qualifies. There is no arrangement or
understanding between Ms.Dillard and any other persons to which
Ms.Dillard was appointed as a director. There are no related
party transactions between us and Ms.Dillard, and as of the date
hereof Ms.Dillard does not own any of our shares of common stock.
Ms.Dillard will participate in the compensation arrangements for
non-employee directors as described in our Proxy Statement, filed
with the Securities and Exchange Commission on April22, 2016. A
copy of the press release announcing the appointment of
Ms.Dillard is hereby incorporated by reference and attached
hereto as Exhibit99.1.
