Submission of Matters to a Vote of Security Holders.
On June 7, 2017, Shutterstock, Inc. (the Company) held its Annual
Meeting of Stockholders (the Annual Meeting). As of April 20, 2017,
the record date for the Annual Meeting, there were a total of
34,560,186 shares of the Companys common stock outstanding and
entitled to vote at the Annual Meeting. At the Annual Meeting,
33,248,988 shares of the Companys common stock were represented in
person or by proxy, and therefore a quorum was present.
Described below are the matters voted upon at the Annual Meeting
and the voting results.
Proposal One Election of Directors
At the Annual Meeting, the Companys stockholders elected the
following Class II director nominees to serve on the Companys Board
of Directors until the 2020 Annual Meeting of Stockholders or, in
each case, until the directors successor is duly elected and
qualified or, if earlier, such director’s death, resignation or

Registered Public Accounting Firm
At the Annual Meeting, the Companys stockholders ratified the Audit

fiscal year ending December 31, 2017. The votes cast were as
