Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 16, 2017, Steve Cakebread notified ServiceSource International, Inc. (the “Company”) of his intention to resign from the Company’s Board of Directors effective December 31, 2017. Mr. Cakebread will assist with the search for his replacement, and will continue to serve as chair of the Company’s Audit Committee through his resignation date or, if earlier, until his successor is appointed. Mr. Cakebread does not have any disagreement with the Company on any matter relating to the Company’s operations, policies or practices, and is resigning due to personal reasons.

The Board of Directors thanks Mr. Cakebread for his service to the Company since 2011.
