Item 5.07.

The Annual Meeting of Stockholders (the “Annual Meeting”) of Sensus Healthcare, Inc. (the “Company”) was held on June 7, 2019. Proxies for the Annual Meeting were solicited to Regulation 14A under the Securities Exchange Act of 1934, and there was no solicitation in opposition to the Company’s solicitation. There were 5,121,186 broker non-votes with respect to director election proposal. The following summarizes all matters voted on at the Annual Meeting.

1.       Election of Directors. John Heinrich and Anthony Petrelli were each elected as a Class I director for a three-year term to expire in 2022 or until his successor is elected and qualified. Each nominee was an incumbent director, no other person was nominated, and each nominee was elected. The tabulation of votes cast was as follows:

The Company designs, manufactures and markets medical devices specializing in the treatment of non-melanoma skin cancers and other skin conditions, such as keloids, with superficial radiation therapy. The superficial radiation therapy is an alternative to surgical basal cell carcinoma treatment and squamous cell carcinoma treatment. The Company’s product, the SRT-100, is a photon x-ray low energy superficial radiotherapy system that provides patients an alternative to surgery for treating non-melanoma skin cancers, including basal cell and squamous cell skin cancers and other skin conditions, such as keloids. The SRT-100 treats primary lesions that would otherwise be difficult or require surgery involving sensitive areas of the head and neck regions, such as the fold in the nose, eyelids, lips, corner of the mouth and the lining of the ear.
