Submission of Matters to a Vote of Security
On May18, 2017, SBA Communications Corporation (the Company) held
its 2017 Annual Meeting of Shareholders. At the 2017 Annual
Meeting of Shareholders, the shareholders voted on (i)the
election of two director nominees (Proposal 1), (ii) the
ratification of the appointment of Ernst Young LLP as the
Companys independent registered public accounting firm for the
2017 fiscal year (Proposal 2), (iii) the approval, on an advisory
basis, of the compensation of the Companys named executive
officers (Proposal 3) and (iv)the approval, on an advisory basis,
of the frequency of future advisory votes on the compensation of
the Companys named executive officers (Proposal 4). The results
of the votes are set forth below.
The shareholders voted in favor of the election of the following
director nominees as ClassIII directors for a term of office
expiring at the 2020 Annual Meeting of Shareholders and, in each
case, until his successor is duly elected and qualified.

Duncan H. Cocroft
The shareholders approved the ratification of the appointment of
Ernst Young LLP as the Companys independent registered public
accounting firm for the 2017 fiscal year.
The shareholders approved, on an advisory basis, the compensation
of the Companys named executive officers.
The shareholders voted in favor of a frequency of every year for
a shareholder vote on the compensation of the Companys named

Based upon the results of the advisory proposal on the frequency
of future votes on executive compensation set forth in Proposal4
above, and consistent with the shareholders recommendation, the
Companys Board of Directors has determined that future advisory
votes on executive compensation will be submitted to shareholders
on an annual basis until the next required vote on the frequency
of such votes.
