Item 5.07. Submission of Matters to a Vote of Security Holders

(a) The Company’s annual meeting of stockholders (the “Annual Meeting”) was held on June 21, 2019.
(b) At the Annual Meeting, the Company’s stockholders (a) elected the nine nominees identified in the table below to the Board of Directors of the Company to serve until the Company’s 2020 Annual Meeting of Stockholders and until their respective successors are duly elected and qualified (“Election of Directors”), (b) ratified the appointment of PricewaterhouseCoopers LLP as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2019 (“Auditor Ratification”) and (c) approved, on an advisory basis, the compensation of the Company’s named executive officers as set forth in the Company’s definitive proxy statement filed with the Securities and Exchange Commission on April 29, 2019 (“Advisory Compensation Vote”).
