On December13, 2017, the Board of Directors (the “Board”) of RigNet, Inc. (the “Company”) approved a form of indemnification agreement (the “Indemnification Agreement”) and authorized the Company to enter into an indemnification agreement in substantially the form of the Indemnification Agreement with each of its directors and executive officers (each, an “Indemnitee”).
The Indemnification Agreement clarifies and supplements indemnification provisions already contained in the Company’s Bylaws and generally provides that the Company shall indemnify the Indemnitee to the fullest extent permitted by applicable law, subject to certain exceptions, against expenses, judgments, fines and other amounts actually and reasonably incurred in connection with their service as a director or officer and also provides for certain rights to advancement of expenses and contribution.
