Directors; Appointment of Certain Officers; Compensatory
Arrangements of Certain Officers.

At its meeting held on May4, 2017, the Board of Directors of
Reynolds American Inc., referred to as RAI, elected Susan M.
Cameron as its Non-Executive Chairman, effective as of May1,
2017. Ms.Cameron had served as Executive Chairman since January1,
2017, after retiring as RAIs President and Chief Executive
Officer. As Non-Executive Chairman, Ms.Cameron is eligible to
participate in the non-employee director compensation
arrangements described in the Reynolds American Inc. 2017 Outside
Directors Compensation Summary, which summary was filed as
Exhibit10.28 to RAIs Annual Report on Form 10-K for the fiscal
year ended December31, 2016, as amended.

On May4, 2017, RAI issued a press release announcing Ms.Camerons
transition to Non-Executive Chairman. A copy of the press release
is attached to this Current Report on Form 8-K as Exhibit 99.1.
