Item 5.02.Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 2, 2017, George H. Booth, II advised Renasant Corporation (the “Company”) that he has elected not to stand for reelection to the Board of Directors of the Company upon the expiration of his term at the 2018 Annual Meeting of Shareholders, which is scheduled to be held on April 24, 2018. Upon the expiration of his term as a director of the Company, Mr. Booth also will retire from the board of directors of the Company’s wholly-owned subsidiary, Renasant Bank. Mr. Booth’s decision not to stand for reelection did not arise or result from any disagreement with the Company on any matters relating to the Company’s operations, policies or practices.
