Departure of Directors or Certain Officers; Election of
Directors; Appointment of Certain Officers; Compensatory
Arrangements of Certain Officers.
On February 28, 2017, Quidel Corporation (the Company) filed a
Current Report on Form 8-K reporting that Jack W. Schuler, 76,
informed the Board of Directors (the Board) of the Company that
he would not seek reelection to the Board at the 2017 Annual
Meeting of Shareholders that is scheduled to be held on May 16,
2017 (the Annual Meeting) and would retire from the Board
effective as of the date of the Annual Meeting. Subsequently, the
Nominating and Corporate Governance Committee and the Board
discussed with Mr. Schuler his ability and willingness to stand
for reelection, and on March 23, 2017 the Board nominated Mr.
Schuler to stand for reelection at the Annual Meeting. Mr.
Schuler has agreed to stand for reelection and no longer plans to
retire from the Board effective as of the date of the Annual
Meeting. Mr. Schuler has served on the Board since 2006.
