On May17, 2018, Quality Care Properties,Inc. (“QCP” or the “Company”) held its 2018 Annual Meeting of Stockholders (the “Annual Meeting”). At the Annual Meeting, there were present, in person or by proxy, 86,542,807 shares of the Company’s common stock, which represented approximately 92.3% of the shares entitled to vote and constituted a quorum.

Set forth below are the voting results of the four proposals considered and voted upon at the Annual Meeting, each of which was described in the Company’s definitive proxy statement filed with the Securities and Exchange Commission on April6, 2018.

Quality Care Properties, Inc. is a self-managed and self-administered real estate investment trust. The Company is focused on post-acute/skilled nursing and memory care/assisted living properties.
