On December 21, 2012, as previously announced, Prospect Capital Corporation (“Prospect”) issued $200 million in aggregate principal amount of 5.875% Convertible Notes due 2019 (the “2019 Notes”), all of which remain outstanding. The 2019 Notes will mature on January 15, 2019, unless previously converted in accordance with their terms. Prospect may repurchase the 2019 Notes from time to time in privately negotiated transactions or otherwise.
