Arrangements of Certain Officers.

On June 5, 2017, Mark Leventhal resigned from the board of
directors of ProPhase Labs, Inc. (the Company), effective
immediately. Mr. Leventhals decision to resign was not the result
of any disagreements with the Company regarding its operations,
policies, practices or otherwise.
