Item 5.02.

On August 25, 2017, Photronics, Inc. (the “Company”) announced that Sean T. Smith, the Company’s senior vice president and chief financial officer, will be on a medical leave of absence indefinitely, effective immediately. Other executive officers of the Company will assume Mr. Smith’s management duties during his absence and will remain in their current positions while carrying out such additional responsibilities. No additional compensation will be paid in connection with the performance of the additional duties. During the medical leave of absence, Peter S. Kirlin, the Company’s chief executive officer, will act as the Company’s principal financial officer as well as its principal executive officer. If Mr. Smith does not return from the medical leave prior to the end of September, his previously announced successor, John P. Jordan, will assume the role of the Company’s principal financial officer as of such date.
