Entry into a Material Definitive Agreement.

subsidiary PGT Industries, Inc. (the Company), entered into a
Product Supply and Sales Agreement (the Agreement), by and
between the Company and Kuraray America, Inc., a Delaware
corporation (Kuraray), for the supply by Kuraray and the purchase
by the Company of certain polyvinyl butyral and ionoplast
interlayer products (the Products) produced by Kuraray and
necessary for the production of the Companys branded window and
door products. The Company has agreed to purchase 100% of its
requirements for the Products from Kuraray, and Kuraray has
agreed to supply such Products, through December 31, 2019. A copy
of the Agreement is included herein as Exhibit 10.1 and
incorporated herein by reference.
