Other Events

On March6, 2017, Pfizer Inc. (the Company) completed a public
offering of 1,250,000,000 aggregate principal amount of Floating
Rate Notes due 2019, 1,000,000,000 aggregate principal amount of
0.000% Notes due 2020, 1,000,000,000 aggregate principal amount
of 0.250% Notes due 2022 and 750,000,000 aggregate principal
amount of 1.000% Notes due 2027 (together, the Notes).

The offering of the Notes was made to the Companys shelf
registration statement on Form S-3 (Registration No.333-202430)
filed with the Securities and Exchange Commission on March2,
2015.

The Notes were issued to an indenture, dated as of January30,
2001, between the Company and The Bank of New York Mellon
(formerly known as The Bank of New York), as successor to
JPMorgan Chase Bank (formerly known as The Chase Manhattan Bank),
as trustee (the Basic Indenture), as supplemented by the ninth
supplemental indenture, dated as of March6, 2017, between the
Company, The Bank of New York Mellon, as trustee and The Bank of
New York Mellon, London Branch, as paying agent (the Ninth
Supplemental Indenture).

The Ninth Supplemental Indenture is filed herewith as Exhibit 4.2
to this Form 8-K and is incorporated herein by reference.

In addition, in connection with the offering of the Notes, the
Company is filing a legal opinion regarding the validity of the
Notes, attached as Exhibit 5.1 to this Form 8-K and incorporated
herein by reference.
