On February28, 2017, Pfizer Inc. (the Company) priced a public
offering of 1,250,000,000 aggregate principal amount of Floating
Rate Notes due 2019, 1,000,000,000 aggregate principal amount of
0.000% Notes due 2020, 1,000,000,000 aggregate principal amount
of 0.250% Notes due 2022 and 750,000,000 aggregate principal
amount of 1.000% Notes due 2027 (together, the Notes).
The offering of the Notes was made to the Companys shelf
registration statement on Form S-3 (Registration No.333-202430)
filed with the Securities and Exchange Commission on March2,
2015.
In connection with the offering of the Notes, the Company entered
into an underwriting agreement (the Underwriting Agreement) and
related pricing agreement (the Pricing Agreement), each dated
February28, 2017, with Barclays PLC, BNP Paribas, Goldman, Sachs
Co. and J.P. Morgan Securities plc, as representatives of the
several underwriters named therein.
The Underwriting Agreement, the Pricing Agreement and the press
release related to the offering are filed as exhibits to this
Form 8-K and are
incorporated herein by reference.
