On August 7, 2017, PetroTerra Corp. (the “Company”) filed an Amended and Restated Certificate of Designation, Preferences and Rights of the Series A Convertible Preferred Stock (the “Amended and Restated Certificate of Designation”) amending and restating certain provisions of the preferred stock designated as “Series A Convertible Preferred Stock”. to the Amended and Restated Certificate of Designation, provisions capping the amount of conversion shares to be issued by the Company to holders of the Company’s Series A Convertible Preferred stock were amended and restated. The Amended and Restated Certificate of Designation was approved by the requisite stockholders.

Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On August 7, 2017, the Company filed the Amended and Restated Certificate of Designation with the Nevada Secretary of State. The Certificate of Amendment to Certificate of Designation is attached hereto as Exhibit 4.1 and incorporated herein by reference. The Amended and Restated Certificate of Designation became effective upon filing with the Nevada Secretary of State.
