(b) On February 28, 2017, Hubert A. Valencik, a current Class 2 director whose term expires at the 2018 annual meeting, notified Penns Woods Bancorp, Inc. (the “Company”) of his intent to retire from the board of directors effective April 25, 2017, following the Company’s 2017 annual meeting, having completed 33 years of continuous service to the Company.
