Accordingly, Peabody is including with this Amendment No. 2 the
following unaudited pro forma condensed consolidated financial
data, which are attached as Exhibit 99.1 hereto and incorporated
herein by reference:

The revised Exhibit 99.1 attached hereto revises and replaces
Exhibit 99.1 of Amendment No. 1 in its entirety. No modification
or update is otherwise made to any other disclosures or exhibits
in the April11 Form 8-K, as amended by Amendment No. 1, nor does
this Amendment No. 2 otherwise reflect any events occurring after
the date of the April11 Form 8-K.
