On February 12, 2018, PAVmed Inc. (the “Company”) issued a press release announcing that it intends to file exchange offer materials providing the holders of the Company’s outstanding publicly traded warrants (the “Series W Warrants”) with the opportunity to exchange two Series W Warrants for one Series Z Warrant. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein in its entirety by reference.
