Other Events.
On April 5, 2017, Park-Ohio Industries, Inc. (the Company), an
Ohio corporation and a wholly owned subsidiary of Park-Ohio
Holdings Corp., announced that it has priced its offering of $350
million aggregate principal amount of 6.625% senior notes due
2027 in an offering exempt from the registration requirements of
the Securities Act of 1933 (the Securities Act). to Rule 135c of
the Securities Act, the Company is filing herewith the press
release issued April 5, 2017 as Exhibit 99.1 hereto.
The senior notes to be offered will not be and have not been
registered under the Securities Act, and may not be offered or
sold in the United States absent registration or an applicable
exemption from the registration requirements.
