As previously disclosed, on June19, 2017, the Company entered into an Agreement and Plan of Merger (the “Merger Agreement”) by and among the Company, West Street Parent, LLC, a Delaware limited liability company (“Parent”) and West Street Merger Sub, Inc., a Massachusetts corporation and wholly-owned subsidiary of Parent (“Merger Sub”), with the Company surviving the Merger as a wholly-owned subsidiary of Parent (the “Merger”). Parent and Merger Sub were formed by Pamplona Investment Partners I, L.P (“Pamplona”).

On July11, 2017, the Company disclosed on Form 8-K a presentation to prospective lenders of certain information regarding the Company (the “Lender Presentation”) in connection with Pamplona’s efforts to obtain debt financing to fund a portion of the amount necessary to complete the Merger and pay related fees in connection with the Merger and related transactions. On slide 41 of the Lender Presentation, the Company reaffirmed its financial guidance for both the fourth quarter and the fiscal year ended June30, 2017. The relevant portion of the Lender Presentation that contained such information is attached as Exhibit 99.2 to this Amendment No. 1 to the Current Report on Form8-K/A. The information shall not be deemed “filed” for purposes of Section18 of the Securities Exchange Act of 1934 (the “Exchange Act”) or otherwise subject to the liabilities of that section, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933 or the Exchange Act, except as expressly set forth by specific reference in such a filing.

The purpose of this Amendment No. 1 to the Current Report on Form 8-K/A is to disclose information regarding the Company’s reiterated financial guidance, as described under Item 2.02 and Item 2.02 of this Amendment No. 1 to the Current Report on Form 8-K/A.
