On May 22, 2017, Panera Bread Company, a Delaware corporation (the “Company” or “Panera”), announced that it has established a record date of May 22, 2017, for a special meeting of stockholders of the Company to be held on July 11, 2017. At the special meeting, the stockholders of the Company will be asked to consider and vote to adopt the previously announced Agreement and Plan of Merger (the “Merger Agreement”) among the Company, Rye Parent Corp., a Delaware corporation (“Parent”), Rye Merger Sub, Inc., a Delaware corporation and a wholly owned subsidiary of Parent (“Merger Sub”), and JAB Holdings B.V., a private limited liability company incorporated under the laws of the Netherlands (“JAB”), providing for the merger of Merger Sub with and into the Company (the “Merger”), with the Company surviving the Merger as a wholly owned subsidiary of Parent.
