Obligation under an Off-Balance Sheet Arrangement
of a Registrant.

On May5, 2017, Owens Corning Sales, LLC and Owens Corning
Receivables, each a subsidiary of Owens Corning (the Company),
entered into a new amended and restated receivables purchase
agreement (the Second Amended and Restated RPA) related to the
Companys and its subsidiaries $250million trade receivables
financing facility. The commitments of the financial institutions
under the Second Amended and Restated RPA expire on May5, 2020.
The Second Amended and Restated RPA amends and restates in its
entirety, the Amended and Restated Receivables Purchase
Agreement, dated as of December16, 2011 (as amended, supplemented
or otherwise modified thereafter). A copy of the Second Amended
and Restated RPA is attached hereto as Exhibit 10.1. The
foregoing description does not purport to be complete and is
qualified in its entirety by reference to the full text of the
attached Second Amended and Restated RPA.
