Change in Fiscal Year
On March21, 2017, the Board of Directors of Overstock.com,Inc.
(the Company) authorized and adopted an amendment (the Amendment)
to the Amended and Restated Bylaws of the Company (the Bylaws).
The Amendment amended the third paragraph of Section2.8 of the
Bylaws in order to expressly include the language of Section216
of the Delaware General Corporation Law regarding the election of
directors by a plurality of the votes of the shares present in
person or represented by proxy at the meeting and entitled to
vote on the election of directors. The effective date of the
Amendment was March21, 2017.
