Item 8.01 Other Events

As previously disclosed on July 30, 2019, the Board of Directors of Overstock.com, Inc. (the “Company”) declared a dividend (the “Dividend”) payable in shares of its Digital Voting Series A-1 Preferred Stock (the “Series A-1 Preferred”). On September 18, 2019, the Company announced its intent to register the Series A-1 Preferred to be issued to the Dividend under the Securities Act of 1933, and postponed the previously announced record and distribution dates for the Dividend. On October 28, 2019, the Company issued a press release announcing that it would be holding a special meeting of stockholders and upon a successful vote will announce the new record and distribution dates for the Dividend. A copy of the press release is filed with this report as Exhibit 99.1 and is incorporated herein by reference.
