Inc. (the Company) held on Thursday, May 25, 2017 (the 2017
Annual Meeting), stockholders holding 132,117,091 shares of the
Companys common stock, par value $0.01 per share, were present in
person or by proxy, representing approximately 97.64% of the
135,301,202 shares of the Companys common stock that were issued
and outstanding as of March 31, 2017, the record date for the
2017 Annual Meeting.
reelected Messrs. Jay N. Levine and Roy A. Guthrie as Class I
directors to serve until the 2020 Annual Meeting, and until such
director’s successor has been elected and qualified, or until
such director’s earlier death, resignation or removal (the
Director Election Proposal), (ii) voted to approve, on an
advisory basis, named executive officer compensation (the
Say-On-Pay Proposal), and (iii) ratified the appointment of
PricewaterhouseCoopers LLP as the Companys independent registered
public accounting firm for the fiscal year ending December 31,
