Item 5.03 Amendments to Articles of Incorporation or Bylaws;
Change in Fiscal Year.

On February 23, 2017, the Board of Directors (the Board) of Olin
Corporation (Registrant) approved an amendment to Article II,
Section 1 of Registrants Bylaws with such amendment to be
effective April 27, 2017, to decrease the size of the Board from
twelve to ten directors.
A copy of the amended Bylaws is filed as Exhibit 3.1 hereto and
is incorporated by reference into this Item 5.03.

Registrants 2017 Annual Shareholders Meeting was held on April
27, 2017. Of the 165,614,787 shares of Common Stock entitled to
vote at such meeting, 158,453,784.101 shares were present for

Olin Corporation is a manufacturer and distributor of chemical products, and ammunition. The Company operates through three segments: Chlor Alkali Products and Vinyls, Epoxy and Winchester.
