(b) On February 23, 2017, G. Thomas Daugherty informed Craig E. Clark, the Chairman of the Board of Directors of Old Line Bancshares, Inc. (the “Company”) and Old Line Bank (the “Bank”), that he intends to retire from the Boards of Directors of the Company and the Bank when his current term as a director ends at the Company’s annual meeting of stockholders to be held in 2017. Mr. Daugherty’s decision to retire is not in connection with any disagreement with the Company, the Bank or its management.
