Item 2.02 Results of Operations and Financial Condition.

On May 8, 2017, Oasis Petroleum Inc. (the Company) announced its
results for the quarter ended March 31, 2017. A copy of the
Companys press release is furnished as Exhibit 99.1 to this Current
Report on Form 8-K.
Item 5.07 Submission of Matters to a Vote of Security Holders.
The Company held its 2017 Annual Meeting of Stockholders (the
Annual Meeting) on May 4, 2017. At the Annual Meeting, the Companys
stockholders were requested to: (1) elect three Class I Directors
to serve on the Companys Board of Directors for a term of office
expiring at the Companys 2020 Annual Meeting of Stockholders; (2)
ratify the selection of PricewaterhouseCoopers LLP as the Companys
independent registered public accounting firm for 2017; (3)
approve, on an advisory basis, the compensation of our named
executive officers as disclosed in the Company’s proxy statement;
and (4) approve, on an advisory basis, the selection of the
frequency of future advisory votes on named executive officer
compensation. The following are the final voting results on
proposals considered and voted upon at the meeting, each of which
is more fully described in the Companys proxy statement filed on
March 22, 2017:
