On March 8, 2018, Robin D. Richards, a member of the board of directors (the “Board”) of Nxt-ID, Inc. (the “Company”), notified the Company of his intention to resign as a member of the Board, effective March 9, 2018. Mr. Richards has served as an independent director of the Board since April 11, 2017, and was a member of the Company’s Compensation Committee. Mr. Richards’ resignation was not due to any disagreement with the Board or the Company’s operations, policies or practices.
