Item 2.01 Completion of Acquisition or Disposition of Assets.

On May 1 and May 4, 2017, NV5 Global, Inc., a Delaware
corporation (the Company), completed the acquisitions of Lochrane
Engineering, Inc. (Lochrane), a transportation and civil
engineering company, and Holdrege Kull, Inc. (HK), a geotechnical
engineering, materials testing, and inspection company,
respectively. Lochrane is a civil engineering firm based in
Orlando, Florida with approximately $6.5 million in annual
revenues and 48 full-time employees. HK is a full-service
geotechnical engineering firm based in Nevada City, California
with approximately $6 million in annual revenues, 41 full-time
employees, and five office locations throughout California.

Each acquisition was made entirely in cash, with the exception of
certain shares of restricted stock granted to key employees.
Prior to entering into each transaction, there was no material
relationship between HK or Lochrane, as the case may be, and the
Company, any affiliate of the Company, or any director or officer
of the Company or any associate of any director or officer of the
Company.

On May 4, 2017, the Company issued a press release reporting its
unaudited financial results for the first quarter ended April 1,
2017. The information contained in this Item 2.02 (including
