On May4, 2018, in connection with the expiration of its universal shelf registration statement on FormS-3 (File No.333-205140) that was filed with the Securities and Exchange Commission (the “SEC”) on June22, 2015 (the “Expiring Registration Statement”), NRG Yield,Inc. (the “Company”) filed a new shelf registration statement (the “Registration Statement”) on FormS-3 (File No.333-224684) which became effective upon filing with the SEC on May4, 2018. In connection with the filing of the Registration Statement, on May4, 2018, the Company filed with the SEC a prospectus supplement (the “Prospectus Supplement”) relating to the Company’s existing “at the market offering” program (the “ATM Program”) which was previously registered under the Expiring Registration Statement. The Prospectus Supplement covers the offering of shares of the Company’s ClassC common stock in the aggregate amount of $99,309,116 that remain unsold under the ATM Program. A copy of the opinion of Ballard Spahr LLP, relating to the legality of the shares, is filed as Exhibit5.1 to this Current Report on Form8-K and is filed with reference to, and is hereby incorporated by reference into, the Registration Statement.
