Item 5.03 Amendments to Articles of Incorporation or Bylaws;
Change in Fiscal Year.

On December1, 2016, the Board of Directors of NRG Energy,Inc.
(the Corporation) approved the Third Amended and Restated By-Laws
of the Corporation (the By-Laws). The By-Laws were amended and
restated primarily to implement a proxy access by-law.

New Section15 of ArticleII of the By-Laws implements proxy access
and permits a stockholder, or group of stockholders, owning 3% or
more of the Corporations outstanding common stock continuously
for at least three years to nominate and include in the
Corporations proxy materials director nominees constituting up to
20% of the board, provided that the stockholder(s)and the
nominee(s)satisfy the requirements specified in the By-Laws.

The description of the amendments to the By-Laws above is
qualified in its entirety to the text of the By-Laws, as amended
and restated through December1, 2016, which are attached as
Exhibit3.1 to this Current Report on Form8-K and incorporated
herein by reference.
