Item 5.03 Amendments to Articles of Incorporation or
Bylaws; Change in Fiscal Year.
The Board of Directors of NRG Energy,Inc. (the Company) has
approved an amendment to the Companys Third Amended and Restated
By-laws (the By-laws) to provide for an extension of the date by
which a stockholder must submit a director nomination in
connection with the Companys 2017 annual meeting to the later of
(i)the latest date as otherwise determined in accordance with the
By-laws and (ii)February17, 2017. The foregoing description of
the amendment to the By-laws is qualified in its entirety by
reference to the full text of the amended By-laws, a copy of
which is filed as Exhibit3.1 hereto and incorporated herein by
reference.
