Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 19, 2017, the Board of Directors (the “Board”) of Vivint Solar, Inc. (the “Company”) appointed David Bywater to serve as a Class III member of the Board, effective immediately. Mr. Bywater is the Company’s Chief Executive Officer. As a Class III member of the Board, Mr. Bywater’s appointment will expire at the Company’s annual meeting of stockholders to be held in 2017. Mr. Bywater will not receive any additional compensation in connection with his appointment to the Board.
