Since May 21, 2018, investors have converted approximately 50,000 shares of existing outstanding Series A Preferred Stock and 29,348 shares of Series B Preferred Stock into an aggregate of 793,480 shares of common stock. To the extent applicable, the common stock issued upon conversion was issued to the exemption from the registration requirements afforded by Section 3(a)(9) of the Securities Act.
