Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
On January 7, 2019, the Boards of Directors of Northfield Bancorp, Inc. (the “Company”) and Northfield Bank appointed Paul Stahlin to serve on the Boards, effective immediately. It is expected that Mr. Stahlin will be appointed to serve on the Audit Committee.
Mr. Stahlin is expected to stand for election at the annual meeting of stockholders of the Company on May 22, 2019.
There are no arrangements or understandings between Mr. Stahlin and any other person to which he became a director. Mr. Stahlin is not a party to any transaction with the Company or Northfield Bank that would require disclosure under Item 404(a) of Securities and Exchange Commission Regulation S-K. Mr.Stahlin will receive the standard compensatory arrangements that the Company currently provides itsnon-employeedirectors, as described in the Company’s proxy statement for its 2018 Annual Meeting of Stockholders, as filed with the Securities and Exchange Commission on April 10, 2018.
