Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. |
On November15, 2016, the Board of Directors (the Board) of
Northern Trust Corporation (the Corporation) elected Michael G.
OGrady to serve as President of the Corporation, effective
January1, 2017. Mr.OGrady will assume the role of President from
Frederick H. Waddell, who will continue to serve as Chairman and
Chief Executive Officer of the Corporation. Mr.OGrady also was
elected to the Board of Directors of the Corporation, effective
January1, 2017.
Mr.OGrady, age 51, will retain his current responsibilities as
President, Corporate Institutional Services of the
Corporation.Mr.OGrady will serve in such officer roles for the
term provided in the Corporations By-laws.

incorporated herein by reference.
