(b)Effective October5, 2018, Mohammed “Matt” Mahmood resigned as the Company’s Chief Operating Officer. Mr.Mahmood’s resignation as Chief Operating Officer was not the result of any disagreement between Nortech Systems and him on any matter relating to Nortech’s operations, policies or practices.

On October10, 2018, Nortech entered into a Separation Agreement and General Release (the “Separation Agreement”) with Matt Mahmood, in which Nortech and Mr.Mahmood mutually agreed that Mr.Mahmood resigned as Nortech’s Chief Operating Officer effective October5, 2018 (the “Separation Date”).
