OTHER EVENTS.

On March6, 2017, Nordstrom, Inc. (the Company) entered into an
underwriting Agreement (the Underwriting Agreement) with Merrill
Lynch, Pierce, Fenner Smith Incorporated, Morgan Stanley Co. LLC
and U.S. Bancorp Investments, Inc., as representatives of the
several underwriters named in the Underwriting Agreement, in
connection with the issue and sale by the Company of $350million
aggregate principal amounts of 4.00% Senior Notes due 2027 and
$300million aggregate principal amount of 5.00% Senior Notes due
2044 (collectively, the Notes) in a public offering. The Notes
were issued under an Indenture, dated as of December3, 2007 (the
Indenture), between the Company and Wells Fargo Bank, National
Association, as trustee.

The above description of the Underwriting Agreement and the
Indenture is qualified in its entirety by reference to the
Underwriting Agreement, which is filed as Exhibit 1.1 to this
Current Report on Form 8-K and is incorporated herein by
reference, and the Indenture, a copy of which was attached to the
Registration Statement on Form S-3 (Reg. No.333-198408) as
Exhibit 4.1 thereto.
