ITEM 5.03 Amendments to Articles of Incorporation or Bylaws;
Change in Fiscal Year

On June 7, 2017, the Board of Directors of Nordstrom, Inc. (the
Corporation) amended the Amended and Restated Bylaws (the Bylaws)
of the Corporation by adding a new Section 14 to Article II thereof
containing an exclusive forum provision (the Amendment). The
Amendment provides that, unless the corporation consents in writing
to the selection of an alternative forum, the state and federal
courts in King County, Washington shall be the sole and exclusive
forums for (i) any derivative action or proceeding brought on
behalf of the corporation, (ii) any action asserting a claim for
breach of a fiduciary duty owed by any director, officer, employee
or agent of the corporation to the corporation or the
corporation’s shareholders, (iii) any action asserting a claim
arising to any provision of the Washington Business Corporation
Act, the articles of incorporation or the bylaws of the corporation
or (iv) any action asserting a claim governed by the internal
affairs doctrine.
