Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 26, 2018, the sole member of Noble Midstream GP LLC, the general partner (the “General Partner”) of Noble Midstream Partners LP (the “Partnership”), appointed Brent J. Smolik as a member of the board of directors (the “Board”) of the General Partner. Mr. Smolik is currently President and Chief Operating Officer of Noble Energy, Inc. (“Noble Energy”) and was appointed to fill the vacancy left by the departure of Gary W. Willingham on October 24, 2018.

Mr. Smolik is a Noble Energy designee to the Board. Officers or employees of Noble Energy who also serve as directors of the General Partner do not receive additional compensation for their service as a director of the General Partner. Accordingly, Mr. Smolik will not receive additional compensation for his services as a director of the General Partner. Mr. Smolik will have rights to indemnification to the First Amended and Restated Agreement of Limited Partnership of Noble Midstream Partners LP.

Mr. Smolik was not appointed to any arrangement or understanding with any other person, and there are no transactions with Mr. Smolik that would be reportable under Item 404(a) of Regulation S-K.
