Departure of Directors or Certain Officers; Election of
Directors; Appointment of Certain Officers; Compensatory
Arrangements of Certain Officers.
On April 1, 2017, Kelly Ayotte was elected as an independent
member of the Board of Directors (the “Board”) of News
Corporation (the “Company”), effective immediately, to fill
the existing vacancy on the Board. Ms. Ayotte will serve on the
Nominating and Corporate Governance Committee of the Board.
Ms. Ayotte’s compensation for service as a non-employee
Director will be consistent with that of the Company’s other
non-employee Directors, including a quarterly deferred stock
unit retainer to be first granted on April 3, 2017, the first
trading day following April 1, 2017. The Company’s
non-employee Director compensation practices are described in
the Proxy Statement for the Company’s 2016 Annual Meeting of
Stockholders filed with the Securities and Exchange Commission
on October 12, 2016 under the heading “Director
Compensation.”
