On March 15, 2018, New York Mortgage Trust, Inc. (the “Company”) filed with the Securities and Exchange Commission a Current Report on Form 8-K (the “Original Form 8-K”) disclosing that the Board of Directors of the Company (the “Board”) expects to appoint Lisa A. Pendergast, an independent director of the Company, to one or more committees of the Board following the Company’s 2018 Annual Meeting of Stockholders. This Current Report on Form 8-K/A amends and updates the Original Form 8-K. On June 5, 2018, on the recommendation of the Nominating and Corporate Governance Committee of the Board (the “Nominating Committee”), the Board unanimously approved the appointment of Ms. Pendergast as a member of each of the Nominating Committee, the Compensation Committee and the Audit Committee.
