Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 6, 2017, New Relic, Inc. (the “Company”) entered into letter agreements (the “Extension Agreements”) with each of its named executive officers extending the term of each named executive officer’s Change in Control and Severance Agreements to December 31, 2020. The terms of the Change in Control and Severance Agreements, a form of which was previously filed with the Securities and Exchange Commission as Exhibit 10.12 to the Company’s Amendment No. 1 to Registration Statement on Form S-1 on December 1, 2014, otherwise remain unchanged.
